Dani Glazer is an associate in the Palo Alto office of Wilson Sonsini Goodrich &
Rosati, where her practice focuses on the formation and financing of start-ups,
mergers and acquisitions, corporate governance, securities laws, and other areas
of corporate law. She has advised and guided several clients through the entity
formation process, including drafting and negotiating sale and loan agreements,
organizational documents, founder and employee agreements, and other
corporate agreements. She has also guided many of those clients through one or
more financings, primarily through investment by venture capital firms.
Through her pro bono work, Dani has continued the community economic
development work she began at the Duke Legal Clinics, advising early-stage
start-ups, nonprofits, and small businesses. She believes in applying private
business solutions to community economic development problems. Accordingly,
she has advised clients regarding becoming benefits corporations, or certified as
"B Corps"; fiscal sponsorship options; becoming a 501(c)(3) nonprofit; operating
with a triple bottom line—fiscal, social, and environmental; and, most recently,
converting into a worker-owned cooperative, which establishes democratic
leadership, allows the selling owner to plan for retirement, and gives employees
the opportunity to build wealth through ownership.
